Proprietary Rights. We cannot be responsible for maintaining any Submitted Materials that you provide to us, nor are we responsible for any information included in any Submitted Materials (for example, without limitation, a blog post or any comments to blog(s) created or posted by users), and we may delete or destroy any such Submitted Materials at any time, in our sole discretion.

You hereby appoint us as your agent with full power to enter into and execute any document and/or do any act we may consider appropriate to confirm the grant of rights, consents, agreements, assignments and waivers set forth in these terms of use.

If you submit a photograph, you also agree to, represent and warrant the following: (i) you have the rights necessary to authorize us to use the photograph as permitted by these Terms of Use; (ii) you authorize us to use the photograph as permitted by these Terms of Use; (iii) you have obtained the necessary permissions, if any, for us to use the photograph in accordance with the Terms of Use; and (iv) the photograph has not been manipulated or altered in any manner so as to distort or misrepresent any individual or thing depicted in it.

Making Health A Priority LLC may, from time to time, make messaging services, chat services, bulletin boards, message boards, photo galleries, blogs, user review and ratings forums, other forums and other such services and features available on or through the Site to which you may have the opportunity to provide or submit Submitted Materials. In addition to any other rules or regulations that we may post in connection with a particular service or feature, and in addition to the rest of the Terms of Use, you represent, warrant and agree that you shall not upload, post, transmit, distribute or otherwise publish through the Site or any service or feature made available on or through the Site, any materials which are, do, or could reasonably be construed to be or do any of the following:

Making Health A Priority LLC reserves the right, but does not and shall not have an obligation, to monitor and/or to review all materials posted to the Site or through the Site's services or features by users, and Making Health A Priority LLC is not responsible for any such materials posted by users. Making Health A Priority LLC is not responsible for any failure to monitor, review and/or delete any materials posted to the Site or through the Site's services or features by users. However, Making Health A Priority LLC reserves the right at all times to disclose any information as necessary or advisable to satisfy any law, regulation or government request; and to edit, to refuse to post or to remove any information or materials, in whole or in part, that, in Making Health A Priority LLC's sole discretion, are in violation of these Terms of Use or applicable law. We may also impose limits on certain features of the forums or restrict your access to part or all of the forums without notice or penalty if we believe you are in breach of the guidelines set forth in our Terms of Use or in violation of applicable law without notice or liability.

We may at any time change or discontinue any aspect or feature of the Site or Service, subject to us fulfilling our previous responsibilities to you based on acceptance of your payment.

Order confirmation. We will email you to confirm the placement of your order and with details concerning product delivery. In the event that there is an error in this email confirmation, it is your responsibility to inform us as soon as possible.

Purchase and Refund Policy. By clicking “Buy Now,” “Purchase,” or any other phrase on the purchase button, or entering your credit cared information, or otherwise enrolling, electronically, verbally, or otherwise, you agree to be provided with the Services and Products. No refunds will be given for any products purchased online.

In those states that do not allow the exclusion or limitation of liability for the damages, our liability is limited to the fullest possible extent permitted by law. In no event shall Making Health A Priority LLC’s cumulative liability to you exceed the total purchase price of the service you have purchased from Making Health A Priority LLC, and if no purchase has been made by you, Making Health A Priority LLC’s cumulative liability to you shall not exceed $100.

Third Party Resources. The Site and the Service contain links to third party web sites and resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content, or policies of third party web sites or resources. Links to such web sites or resources do not imply any endorsement by or affiliation with Making Health A Priority LLC. You acknowledge sole responsibility for and assume all risk arising from your use of any such web sites or resources.

Indemnification. You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third party claims and causes of action, including, without limitation, attorney’s fees, arising out of any breach by you of any of these Terms and Conditions, or any use by you of the Site or Service. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records, and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defense without our prior written consent.

Headings. The subject headings of the paragraphs and subparagraphs of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.

Entire Agreement; Waiver. This Agreement constitutes the entire agreement between you and Making Health A Priority LLC pertaining to the Site and Service and supersedes all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of this Agreement by Making Health A Priority LLC shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Making Health A Priority LLC.

Notices. All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed as follows:

Governing Law; Venue; Mediation. This Agreement shall be construed in accordance with, and governed by, the laws of the State of Illinois as applied to contracts that are executed and performed entirely in Making Health A Priority LLC. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Champaign County, Illinois. The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement by mediation, which shall be conducted under the then current mediation procedures of The CPR Institute for Conflict Prevention & Resolution or any other procedure upon which the parties may agree. The parties further agree that their respective good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration, or other dispute resolution procedures.

Recovery of Litigation Expenses. If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.

Severability. If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

Assignment. These Terms and Conditions bind and inure to the benefit of the parties’ successors and assigns. These Terms and Conditions are not assignable, delegable, sublicenseable, or otherwise transferable by you. Any transfer, assignment, delegation, or sublicense by you is invalid.

Full Disclosure Affiliate Policy. Occasionally, we may accept forms of cash advertising, sponsorship, paid insertions or other forms of compensation. The compensation received will never influence the content, topics or posts made on makinghealthapriority.com.
